1. Scope
These terms apply to all contracts between Fasten Teams Studio (“Provider”) and the customer for the provision of the DineSpring platform, including the web shop, table QR ordering, kitchen display, POS functions, and related services. Deviating customer terms apply only if the Provider expressly agrees to them in writing.
2. Conclusion of contract
Provider offers are non-binding. The contract is concluded upon written order confirmation or activation of the customer account. Demo and trial access does not create a right to permanent provision.
3. Services and availability
The Provider makes the agreed functions available as software-as-a-service over the internet. The scope of services is determined by the service description and the selected subscription. The Provider strives for high availability but does not owe uninterrupted use. Maintenance work and disruptions outside the Provider’s control remain reserved.
The Provider may further develop functions provided that the agreed core scope is not materially restricted. Third-party services (e.g. payment providers, printer hardware) are subject to their own terms.
4. Prices and payment
The prices agreed at contract conclusion apply in Swiss francs, plus statutory VAT. Subscriptions are invoiced in advance for the agreed period. Invoices are payable within 30 days without deduction unless otherwise agreed. In the event of payment default, the Provider may restrict access after issuing a reminder.
5. Term and termination
Subscriptions run on a monthly basis and may be terminated at any time with effect from the end of the current billing month unless otherwise agreed. Termination may be given in text form (email is sufficient). The right of either party to terminate for good cause remains reserved.
6. Customer obligations
The customer is responsible for the accuracy of its information, content, prices, tax rates, and availability. It ensures that it is authorised to process guest data and complies with applicable data protection, food safety, and tax regulations. Access credentials must be kept secure and not shared with unauthorised persons.
7. Data protection
The processing of personal data is governed by our Privacy Policy. For the processing of guest data on behalf of the customer, the parties enter into a data processing agreement pursuant to Art. 28 GDPR.
8. Liability
The Provider is liable without limitation for intent and gross negligence and for personal injury. For slight negligence, the Provider is liable only for breach of essential contractual obligations and limited to the typical, foreseeable damage. Liability for lost profits, data loss without proper backup, or indirect damages is excluded to the extent permitted by law. Mandatory statutory liability remains unaffected.
9. Intellectual property
All rights in the platform, software, and Provider trademarks remain with the Provider or its licensors. The customer receives a non-exclusive, non-transferable right of use for the contract term. Customer content remains the customer’s property; the customer grants the Provider the rights necessary to perform the contract.
10. Changes to these terms
The Provider may amend these terms with reasonable prior notice provided the changes are reasonable for the customer. If the customer does not object within 30 days, the new terms are deemed accepted. The Provider will expressly notify the customer of material changes.
11. Governing law and jurisdiction
Swiss law applies exclusively, excluding the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is, to the extent permitted, the Provider’s registered office in Zurich. Mandatory consumer protection provisions remain reserved. If any provision of these terms is invalid, the validity of the remaining provisions remains unaffected.
